Official Notice of the 2025 Annual Membership Meeting

The Annual Membership Meeting of Citizens Telephone Cooperative will be held on Saturday, October 18, 2025 at Citizens Telephone Cooperative's corporate office located at 220 Webbs Mill Rd North, Floyd Virginia.

The purpose of the meeting will be to elect three directors and to transact such other business as may properly come before the meeting. The following persons have been nominated:

Registration begins at 11:00 a.m. and the meeting will start at 12:00 p.m. All members are invited to attend this meeting. Door prizes will be drawn and a meal will be served after the meeting.

In accordance with Article III, Section 8 of the Bylaws, the registration of proxies and substitution forms must be pre-registered at Citizens Telephone Cooperative, 220 Webbs Mill Road, Floyd, VA, office prior to the Annual Meeting. The business office will be open for pre-registration during normal business hours. No proxies will be registered after 5:00 p.m. on Thursday, October 16th or at the Annual Meeting.

Know all people by these presents, that I the undersigned, do hereby appoint and constitute Joseph Italiano, Shelby Quesenberry, Jonathan Vest, Lynwood Allen, Wesley Goff, or any one or more of them, or , my true and lawful attorney and proxy with full power to substitute another member to act as my true and lawful attorney and proxy with full power to act as my true and lawful attorney and proxy, to attend and represent me at the Annual Membership Meeting of the Corporation to be held on October 18, 2025, at 12:00 p.m. at Citizens Telephone Cooperative's corporate office, in the County of Floyd, State of Virginia, and for and on my behalf to vote on any question, proposition or resolution, or any other matter which may come before the meeting or any adjournment thereof upon which I would be entitled to vote if personally present.
